1. General Terms
This website, located at www.FindABlackAgent.com (the "Site"), is owned and operated by Find A Realtor, LLC, a Virginia limited liability company doing business as Find A Black Agent (the "Company," "FABA," "we," or "us"). By using the Site, you agree to be bound by these Terms of Service and to use the Site in accordance with these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from the Company.
Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms of Service. If you do not agree to these Terms of Service, do not use the Site.
You must be at least 18 years of age to use the Site or to submit any information through it. By using the Site, you represent that you are at least 18 years old.
Unless explicitly authorized, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium any material from the Site. However, you may download and/or print one copy of individual pages for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices.
We reserve the right to change these Terms of Service or to impose new conditions on the use of the Site from time to time, in which case we will post the revised Terms of Service on the Site with a new effective date. By continuing to use the Site after we post any such changes, you accept the Terms of Service as modified.
2. Purpose of the Platform; Listing Eligibility
Find A Black Agent is a national real estate referral marketplace whose purpose is to help consumers identify and connect with Black real estate professionals and to expand the visibility of those professionals in the marketplace. The Site is available to all members of the public. Listing eligibility is open to any real estate professional who holds an active license in good standing in the state in which they practice and who meets the Company's verification and conduct standards. The Company does not restrict use of the Site, or eligibility to be listed, on the basis of race, color, religion, sex, national origin, disability, familial status, sexual orientation, or any other characteristic protected by applicable law.
The Company reserves the right to review, verify, edit, decline, suspend, or remove any listing that does not meet its eligibility, verification, or conduct standards, as described in Section 11 (Termination).
Referral fee agreements with real estate professionals listed on the Site are entered into by the Company's affiliated licensed real estate brokerage, FABA Realty LLC d/b/a FABA, a Florida limited liability company. References in these Terms of Service to referral fees, commissions, or brokerage services mean services provided by that affiliate.
3. Intellectual Property Rights
Our Limited License to You
The Site and all the materials available on the Site are the property of the Company and/or our affiliates or licensors and are protected by copyright, trademark, and other intellectual property laws. The Site is provided solely for your personal, non-commercial use. You may not use the Site or the materials available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by us.
Your License to Us
You retain all ownership rights in the material you submit to the Site. By submitting material, including comments, photographs, videos, biographical information, and profile content, you represent that you own the material or have obtained all permissions necessary to submit it, and you grant the Company a revocable, non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, distribute, and publicly perform that material, and to reformat or adapt it for display, solely for the purpose of operating, promoting, and marketing the Site and the services offered through it. This license includes the right to sublicense these rights to the Company's hosting, storage, and technology service providers to the extent necessary to operate the Site.
This license terminates when you remove the material from the Site or when your relationship with the Company ends, whichever occurs first, except that the Company may retain and continue to use (a) copies already distributed to third parties or incorporated into advertising or promotional materials published before termination, and (b) copies retained in routine backup or archival systems, which will not be used for any new promotional purpose. The Company will remove the material from the public-facing Site within a commercially reasonable period following your request or the termination of your relationship with the Company.
4. Copyright Infringement; DMCA Notices
The Company respects the intellectual property rights of others and responds to notices of claimed copyright infringement in accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512. If you believe material on the Site infringes a copyright you own or are authorized to enforce, send a written notice to the Company's designated agent identified below containing:

Upon receipt of a notice that substantially complies with the requirements above, the Company may remove or disable access to the material identified and will make a reasonable attempt to notify the person who submitted it. If you believe your material was removed or disabled in error or as a result of misidentification, you may submit a counternotification to the designated agent containing the elements required by 17 U.S.C. § 512(g)(3), including your consent to the jurisdiction of the federal district court for the judicial district in which your address is located. The Company may restore the material in accordance with the DMCA following receipt of a compliant counternotification. The Company will terminate the accounts and listings of users who are repeat infringers.
5. Third-Party Vendors and Online Commerce
Certain sections of the Site may allow you to purchase products and services from third-party vendors. We are not responsible for the quality, accuracy, timeliness, reliability, or any other aspect of these products and services. If you make a purchase from a third party linked through the Site, the information obtained during your visit, including payment information, may be collected by both the merchant and us.
Your participation in any dealings with third-party vendors, including real estate professionals you are introduced to through the Site, is solely between you and the third party. The Company shall not be responsible for any loss or damage incurred as a result of such dealings.
6. Disclaimers
Throughout the Site, we may provide links and pointers to Internet sites maintained by third parties. Our linking to such third-party sites does not imply an endorsement or sponsorship of such sites or the information, products, or services offered on or through the sites.
The information, products, and services offered on or through the Site are provided "as is" and without warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, the Company disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose.
7. Indemnification
You agree at all times to indemnify and hold harmless Find A Realtor, LLC d/b/a Find A Black Agent, its affiliates, and their respective officers, directors, members, managers, agents, and employees from any claims, causes of action, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of any obligation, warranty, or representation under these Terms of Service or your use of the Site.
8. Registration & Passwords
To access certain features of the Site, you may be required to register and create an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
If you suspect unauthorized use of your account, notify us immediately at support@FindABlackAgent.com. We are not liable for any loss or damage arising from your failure to comply with this obligation.
9. Account Deletion; Data Retention
You may request deletion of your account at any time by emailing support@FindABlackAgent.com from the address associated with your account. Following a request, we will close your account and remove your profile and any public listing from the Site within a commercially reasonable period, and the license you granted us under Section 3 (Your License to Us) will terminate as provided in that Section. We will retain certain information after your account is closed: records of referrals, transactions, and commissions payable or paid; information we are required to keep for tax, accounting, audit, or legal-hold purposes; and information retained in routine backup or archival systems. Retention periods are described in our Privacy Policy. Deleting your account does not relieve you of any obligation to pay amounts that became due before deletion, and the provisions of these Terms of Service that by their nature survive termination will continue to apply.
10. SMS Messaging Terms & Compliance
We comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines, regarding the use of SMS communications.
11. Termination
We may suspend or terminate your access to the Site, or remove or suspend any listing or profile, if we determine that you have violated these Terms of Service, provided inaccurate information, no longer meet the eligibility requirements in Section 2, or engaged in conduct that we reasonably deem inappropriate, unlawful, or harmful to the Company, its users, or the real estate professionals listed on the Site.
Where practicable, we will provide notice to the email address associated with your account and a reasonable opportunity to cure before terminating a listing or account. We may, however, suspend or terminate access immediately and without prior notice where we reasonably believe that your conduct poses a risk to the Site, other users, or third parties, involves fraud or a violation of law, or constitutes repeat copyright infringement under Section 4. Upon termination, you must cease all use of the Site and any content obtained from it, and Sections 3, 4, 6, 7, 9, 12, and 13 will survive.
12. Governing Law; Venue
These Terms of Service, and any dispute or claim arising out of or relating to these Terms of Service or your use of the Site, shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Subject to the arbitration provision set forth in Section 13, the state and federal courts located in Fairfax County, Virginia shall have exclusive jurisdiction and venue over any dispute not subject to arbitration, and each party consents to the personal jurisdiction of those courts and waives any objection based on venue or inconvenient forum. For purposes of this Section, the "Company" means Find A Realtor, LLC d/b/a Find A Black Agent.
13. Binding Arbitration; Class Action Waiver
Except as provided below, any dispute or claim arising out of or relating to these Terms of Service, the Site, or the services offered through the Site shall be resolved exclusively by final and binding arbitration before a single arbitrator, administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect. The seat of the arbitration shall be Fairfax County, Virginia. The Federal Arbitration Act governs the interpretation and enforcement of this Section, and judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Either party may instead bring an individual claim in small claims court if the claim qualifies for that court's jurisdiction. Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information pending arbitration. All claims must be brought in the party's individual capacity. Each party waives any right to commence or participate in a class, collective, consolidated, or representative proceeding, and the arbitrator may not consolidate the claims of multiple parties or preside over any class or representative proceeding. If this waiver is held unenforceable as to any claim, that claim alone shall be severed from the arbitration and brought in the courts identified in Section 12 (Governing Law; Venue), and the remainder of this Section shall remain in full force and effect. Administrative and arbitrator fees shall be allocated in accordance with the AAA Consumer Arbitration Rules, and the Company shall bear those fees to the extent those rules require.
14. Changes to These Terms of Service
We may update these Terms of Service from time to time. The latest version will always be available on the Site with its effective date. Material changes will be indicated by an updated effective date at the top of this page.
